GX Guardian Exploration Inc

Guardian Exploration Inc. ("Guardian" or the "Company") (TSX VENTURE:GX),
announces it intends to proceed with a brokered private placement, subject to
regulatory approval, to raise up to $3,000,000 (the "Private Placement") at a
price of $0.30 per Common Share and $0.35 per Flow Through Share.


Blackmont Capital Inc. will be acting as agent on a commercially reasonable
efforts basis for this Private Placement, subject to completion of due
diligence.


The proceeds from the Private Placement will be used for ongoing drilling
operations.


Guardian is a Calgary-based corporation engaged in the acquisition, exploration
and development of resource properties. Common shares of the company trade on
the TSX Venture Exchange under the trading symbol "GX".
