Formation Fluid Management Inc. Announces Revised Terms of Private
Placement
CALGARY, ALBERTA--(Marketwired - Apr 10, 2014) - Formation Fluid
Management Inc. (TSX-VENTURE:FFM) (the "Company" or "Formation
Fluid") wishes to announce that further to its news release dated
April 2, 2014, the Company has amended the terms of its
non-brokered private placement of units (the "Offering") to reduce
the number of warrants to be issued. Each unit (a "Unit") will now
consist of one common share (a "Share") and one half of one common
share purchase warrant (each whole warrant, a "Warrant").
Under the Offering, the Company will issue up to 11,111,111
Units at a price of $0.18 per Unit for gross proceeds of up to
$2,000,000. Each Warrant will entitle the holder thereof to
purchase an additional common share of the Company at an exercise
price of $0.25 per share for 24 months from the closing of the
Offering.
The Company reserves the option to increase the Offering size by
10% to allot and issue up to an additional 1,111,111 Units at the
issue price of $0.18 per Unit for additional gross proceeds of up
to approximately $200,000.
The securities issued in connection with the Offering and any
shares issued in connection with the exercise of Warrants will be
subject to a statutory hold period of four months plus a day from
the date of issuance of the Units in accordance with applicable
securities legislation. Closing of the Offering is subject to a
number of conditions, including receipt of all necessary corporate
and regulatory approvals, including the TSX Venture Exchange.
It is intended that the net proceeds of the Offering will be
used primarily for construction of new water treatment plants and
as well as general operating capital.
