The Company has become aware that, on 15 October 2003, 5,000,000 shares in
Seymour Pierce Group Plc held as bare trustee by Harbour Trustees Limited were
transferred without change of beneficial ownership to another bare trustee for
nil consideration. P.J. Murrin, a director of the Company had an indirect
non-beneficial interest in those shares in his capacity as a director and
shareholder of Harbour Trustees Limited.
