Item 8.01 Other Events.

On March 25, 2020, in response to the COVID-19 outbreak, the Board of Directors of the Tennessee Valley Authority ("TVA") authorized TVA's Chief Executive Officer to approve alternative wholesale payment arrangements and certain regulatory changes that will enable TVA's local power company customers to take swift local revenue-related rate actions to help ensure their financial integrity. A copy of a news release regarding this matter is filed as Exhibit 99.1.
