(1) Represents shares of common stock of Paycom Software, Inc. (the "Issuer") withheld by the Issuer to satisfy tax withholding obligations in connection with the vesting of (i) 164 shares of restricted stock granted to the reporting person on January 30, 2020, (ii) 139 shares of restricted stock granted to the reporting person on February 5, 2021 and (iii) 150 shares of restricted stock granted to the reporting person on February 2, 2022. No shares were issued or sold in this transaction.
