Indemnification of Directors and Officers
The Registrant has the power to indemnify its officers and directors against liability for certain acts pursuant to Section 145 of the General Corporation Law of the State of Delaware. The Registrants Restated Certificate of Incorporation eliminates the liability of its directors for breach of fiduciary duty to the maximum extent permitted by the General Corporation Law. The Registrants Bylaws further provide for indemnification of its directors, officers, employees and other agents to the maximum extent permitted by the General Corporation Law. In addition, the Registrant has entered into Indemnification Agreements with each of its directors and officers, and maintains directors and officers liability insurance under which its directors and officers are insured against loss (as defined in the policy) as a result of certain claims brought against them in such capacities.
