Explanation of Responses:

( 1)

The acquisition of the 1,667 shares of common stock reflects an award of restricted stock on December 12, 2012, as director compensation for 2011, pursuant to the Company's 2009 Restricted Stock/Unit Plan. Three-fourths of the shares were vested on the date of the award, while the remaining one-fourth vests on December 31, 2012, although the award is also subject to accelerated vesting upon the death, disability or retirement of the recipient, or upon a change in control of the Company.
