Item 5.07

Submission of Matters to a Vote of Security Holders.

On October 11, 2023, Leo Holdings Corp. II (the “Company” or “Leo”) convened and then adjourned until October 12, 2023, at 10:00 a.m., Eastern Time, without conducting any other business, an extraordinary general meeting of shareholders (the “Meeting”) relating, among other things, to its previously announced proposed extension of its deadline to complete an initial business combination. The only proposal submitted for a vote of the shareholders at the Meeting was the approval of the adjournment of such meeting to a later date (the “Adjournment Proposal”). The Adjournment Proposal is described in greater detail in the definitive proxy statement of the Company, which was filed with the Securities and Exchange Commission on September 27, 2023.

Holders of 12,263,721 ordinary shares of the Company held of record as of September 19, 2023, the record date for the Meeting, were present in person or by proxy at the meeting, representing approximately 87.9% of the voting power of the Company’s ordinary shares as of the record date for the Meeting, and constituting a quorum for the transaction of business.

The adjourned meeting will be held on October 12, 2023, at 10:00 a.m., Eastern Time, at the offices of Kirkland & Ellis LLP located at 601 Lexington Avenue, New York, NY 10022 and conducted remotely by teleconference. Other Events.

As previously reported on October 10, 2023, the deadline to withdraw previously submitted redemption requests in connection with the Meeting was Wednesday, October 11, 2023, prior to 10:00 a.m., Eastern Time. However, due to the adjournment of the Meeting, the deadline to withdraw previously submitted redemption requests in connection with the Meeting is being extended to Thursday, October 12, 2023, prior to 10:00 a.m., Eastern Time, subject to approval by the board of directors of the Company.
