Item 2.02 - Results of Operations and Financial Condition

On February 15, 2023, Bowlero Corp. (the “Company”) issued a press release announcing its preliminary financial results for the second quarter of fiscal year 2023, which ended on January 1, 2023. A copy of the Company’s press release is being furnished herewith as Exhibit 99.1.
