Item 1.01.

Entry into a Material Definitive Agreement.

On July 26, 2022, Global Net Lease, Inc. (the “Company”), through Global Net Lease Operating Partnership, L.P., its operating partnership subsidiary (the “Operating Partnership”), entered into an amendment (the “Amendment”) to its second amended and restated credit agreement, dated April 8, 2022, with KeyBank National Association, as agent, and the other lender parties thereto, to, among other things, increase the maximum aggregate asset value attributable to unencumbered pool assets located in approved foreign countries. The impact of this amendment will be to increase the Company’s flexibility to add properties to the pool of unencumbered assets which impacts the amount available for draw under the facility.
