Explanation of Responses:
( 1)	Restricted Shares vest in the amount of 1/6th of the grant on each of the six annual anniversaries following the respective grant date. Mr. Hill has six grants still outstanding, and of those the following shares remain unvested at this time: 300 shares from the grant on 06/30/2009, 300 shares from the grant on 10/01/2010, 375 shares from the grant on 12/01/2011, 500 shares from the grant on 09/01/2012, 400 shares from the grant on 03/01/2013, and 265 shares from the grant on 04/01/2014.
( 2)	Assuming his continued employment (or death or disability while employed) and the satisfaction of certain performance goals is achieved, this award would vest at the end of a three-year performance period that began on January 1, 2015 and ends on the last NYSE trading day of December 2017 (the "Performance Period"). The restricted performance shares will vest only upon the Company's return on invested capital being in the top decile of the Company's peers as published by Bloomberg upon the close of the NYSE market on the last day of the Performance Period. If this criteria is not met, then no shares shall vest and the award shall be forfeited.
