Submission of Matters to a Vote of Security Holders.
|
(a) On May 10, 2019, Charah Solutions, Inc. (the Company) held its 2019 Annual Meeting of Stockholders
(the Annual Meeting).
(b) At the Annual Meeting, the Companys stockholders (i) elected the
two Class I directors nominated by the Companys Board of Directors to serve for a term of three years or until their successors are duly elected and qualified; and (ii) ratified the appointment of Deloitte & Touche LLP as
the Companys independent registered public accounting firm for fiscal 2019. The proposals are further described in the Companys definitive proxy statement on Schedule 14A filed with the Securities and Exchange Commission on
March 29, 2019.
