Explanation of Responses:
(1)	The reporting person was granted an award of 915 restricted stock units (RSUs) on June 10, 2020 under the U.S. Concrete, Inc. Long Term Incentive Plan for his service as a new non-employee director for the period beginning May 14, 2020 through September 30, 2020. The RSUs awarded will vest on July 1, 2020 in the amount of 305 shares of the Company's common stock and on October 1, 2020 in the amount of 610 shares of the Company's common stock.
(2)	The reporting person has reported prior awards of RSUs in Table II of Form 4. The total reported in Column 5 of Table I as directly owned shares includes the 915 newly-awarded RSUs and 403,464 shares of common stock.
