Announces Expiration of Hart-Scott-Rodino Waiting Period
in Connection with Proposed Transaction with Genesis HealthCare, LLC

Irvine, Calif. (Aug. 9, 2012)—Sun Healthcare Group, Inc. (NASDAQ GS: SUNH) today announced that, in connection with the previously announced transaction with Genesis HealthCare LLC, the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, expired on Aug. 8, 2012. The closing of the transaction remains subject to other customary conditions, including approval by Sun stockholders and other regulatory approvals. The special meeting of Sun stockholders to approve the transaction will be held on Sept. 5, 2012. Sun continues to expect that the transaction will close in the fall of 2012.
