State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Sorrento Therapeutics, Inc. (the “Registrant”) is unable to file its Annual Report on Form 10-K for its fiscal year ended December 31, 2021 (the “Form 10-K”) prior to 5:30 p.m. Eastern Time on March 1, 2022 without unreasonable effort or expense for the reason described below.

As previously disclosed on the Registrant’s Current Report on Form 8-K filed with the Securities and Exchange Commission on January 7, 2022, the Company’s Chief Financial Officer passed away unexpectedly on January 6, 2022, and the Registrant has therefore experienced an unanticipated delay in the preparation of the Form 10-K. The Registrant intends to file the Form 10-K within the fifteen-day extension period afforded by Rule 12b-25 under the Securities Exchange Act of 1934, as amended.
