(2)	Shares are held in a trust of which the Reporting Person is the trustee.
(3)	Bernard Karr serves as trustee and Randall M. Ruhlman and the Reporting Person act as co-Trust Advisors with respect to the investment and voting of such shares. The reporting person disclaims beneficial ownership of the stock held by the Trust except to the extent of his pecuniary interest therein.
