Unregistered Sales of Equity Securities

In September, 2022, the Company raised $532,500 from the sale of its restricted common stock at $1.25 per share from several non-affiliated investors. Exemption from registration is claimed under Rule 506 of the Securities Act of 1933, as amended. No commissions were paid in connection with the sale of common stock.
