Dear Team,
I am writing to you to share some exciting news regarding Midwest Holding.
We have entered into an agreement to be acquired by international investment
firm Antarctica Capital for approximately $100 million, or $27.00 per share in cash. Attached is a copy of the press release we issued
a short while ago announcing the transaction.
Over the last few years, we have made substantial progress executing
our business strategy to grow written premiums by distinguishing Midwest in products, services, indices and technology. While we are proud
of how far we have come together, we believe there are even more significant growth opportunities ahead of us. However, fully capitalizing
on our platform, business momentum and market opportunity requires significant additional resources.
| · | To that end, our Board of Directors and management team conducted a comprehensive review of value creation opportunities, culminating
in this premium, cash transaction with Antarctica. We are confident that Antarctica is the right partner to help Midwest accelerate our
strategy and lower our execution risk. Antarctica has deep-seated roots in the insurance industry, and the addition of Midwest represents
a significant milestone for its insurance strategy. We look forward to working with the Antarctica team in this exciting new chapter. |

plans to utilize Antarctica’s platform, existing partnerships, and other resources to expand our business and drive future growth,

The transaction is expected to close in the second half of 2023, subject
to customary closing conditions and approvals. Following closing, Midwest will continue to be led by its current leadership team. In addition,
Midwest is expected to maintain its name, personnel, headquarters in Lincoln, Nebraska, and operational hubs in New York and Vermont.
