Item 8.01 Other Events

On April 16, 2008, Mercer Insurance Group, Inc. (the “ Company ”) issued a press release announcing that its Board of Directors had declared a cash dividend of $0.075 per share, payable on June 27, 2008 to shareholders of record on June 11, 2008. Also on April 16, 2008, the Company announced a stock repurchase program for up to 5% of its outstanding common stock. The press release, attached hereto as Exhibit 99.1, is incorporated herein by reference.
