(the Company), held on May 16, 2011.

May 16, 2011, the Company issued a press release announcing that the Company has entered into a definitive merger agreement with Kratos Defense & Security Solutions, Inc. (Kratos) relating to the merger of a wholly owned
subsidiary of Kratos with and into the Company and the other matters described therein. A copy of the press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference. The information required by Item 1.01 of Form 8-K
will be filed in a separate Current Report on Form 8-K.
