Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On November 2, 2007, the Compensation Committee of the Company’s Board of Directors approved a supplemental retirement income arrangement for Don T. Scartz, the registrant’s Executive Vice President, Chief Financial Officer and Treasurer. Under this arrangement, $100,000 will be credited to an account for Mr. Scartz’s benefit. This amount was calculated by the Committee as approximately equalling the additional amount that would have been available in Mr. Scartz’s account under the Company’s qualified defined-contribution retirement plan had the Company been able, over a period of several years, to make contributions under that plan based on Mr. Scartz’s actual salary, without regard to IRS income limitations on such contributions.
The unpaid balance in the supplemental account will be credited quarterly with interest at the rate per annum published from time to time by SunTrust Bank, Atlanta, Georgia, as its prime rate for commercial customers.
