Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 22, 2009, Diedrich Coffee, Inc. (the “Company”) announced the initiation of a transition plan with respect to the position of chief executive officer of the Company, pursuant to which the employment of J. Russell Phillips, as President and Chief Executive Officer of the Company, will terminate. The Company issued a press release relating to the CEO transition plan on October 22, 2009. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
