Essilor and Costa announced on November 8, 2013 that the
companies have entered into a definitive merger agreement under
which Essilor will acquire all of the outstanding common stock of
Costa for approximately $270 million. Under the terms of the
transaction, Costa shareholders will receive $21.50 for each share
of Costa stock they own. The investigation concerns whether the
Costa Board of Directors breached their fiduciary duties to
stockholders by failing to adequately shop the Company before
agreeing to enter into this transaction, and whether Essilor is
underpaying for Costa shares. In particular, at least one analyst
set a price target of $29.00 per Costa share.
