Explanation of Responses:
( 1)  Represents ten year non-qualified stock options to purchase 40,000 shares of the Issuer's common stock, granted to the Reporting Person under the Issuer's equity incentive plan, pursuant to a stock option agreement, dated July 11, 2010. The options will vest in equal portions on a quarterly basis over a 3-year period, with the first portion to vest on October 11, 2010.
( 2)  Includes previously reported ten year non-qualified stock options to purchase 20,000 shares of the Issuer's common stock at $4.00 per share, granted to the Reporting Person under the Issuer's equity incentive plan, pursuant to a stock option agreement, dated July 24, 2008, half of which vested on January 25, 2009, and the remainder of which vested on July 24, 2009.
