The reported transaction reflects the grant of Restricted Stock Units under the Issuer's 2014 Omnibus Award Plan and represents a like number of shares of the Issuer's common stock. These Restricted Stock Units vest in full at the earlier of November 6, 2016 and the Issuer's next annual meeting of stockholders. Upon vesting these Restricted Stock Units will be deferred and settled in shares of the Issuer's common stock 180 days after the date the Reporting Person ceases to be a member of the Issuer's board of directors.
