ITEM 8.01     OTHER EVENTS.

On April 1, 2008, CastlePoint Holdings, Ltd. issued a press release entitled “CastlePoint Doubles Quarterly Dividend to $0.05 Per Share” in which it announced that the quarterly dividend payable on June 30, 2008 to shareholders of record as of June 16, 2008 would be $0.05 per share, which is an increase from its prior dividend of $0.025 per share, and represents a 100% increase in the annualized dividend from $0.10 per share to $0.20 per share.
