Item 1.01.  Entry into a Material Definitive Agreement.

On September 27, 2021, CGS Stores, LLC (“CGS”), an indirect wholly-owned subsidiary of Casey’s General Stores, Inc. (the “Company”), entered into an Asset Purchase Agreement (the “APA”) with Pilot Corporation, a Tennessee corporation (the “Seller”).  Pursuant to the terms of the APA, CGS will acquire substantially all of the assets with respect to 40 convenience stores (including retail fuel operations) located throughout the Knoxville, TN and surrounding areas (the “Proposed Transaction”), for an aggregate purchase price in cash of $220 million, subject to customary post-closing adjustments.

The Proposed Transaction is conditioned upon the satisfaction of customary closing conditions, including, among others: (1) expiration or termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended; (2) the accuracy of the representations and warranties of each party to the APA as of the closing; (3) the performance in all material respects by the parties of their respective covenants under the APA; and (4) in the case of the acquired assets and business, the absence of any material adverse effect since the date of the APA.

The foregoing description of the APA and Proposed Transaction is qualified in its entirety by reference to the APA, a copy of which is attached as Exhibit 2.1, and is incorporated herein by reference.
