Item 7.01 Regulation FD Disclosure.
On September 12, 2023, Altisource Portfolio Solutions S.A. (“Altisource” and the “Company”) closed its previously announced underwritten public offering of 5,590,277 shares of its common stock (inclusive of 729,166 shares that were sold pursuant to the underwriters’ exercise of their option to purchase additional shares of Altisource’s common stock), at a price to the public of $3.60 per share, generating net proceeds of approximately $18.3 million, after deducting the underwriting discounts and commissions and other offering expenses.
B. Riley Securities, Inc. acted as the sole book-running manager for the offering.
Altisource intends to use the net proceeds from the offering for general corporate purposes, including repayment of $10 million of indebtedness under its credit agreement.
The securities described above were offered by the Company pursuant to an effective shelf registration statement on Form S-3 (File No. 333-268761) initially filed with the Securities and Exchange Commission (“SEC”) on December 12, 2022 and declared effective by the SEC on January 4, 2023. A final prospectus supplement and the accompanying prospectus relating to and describing the offering have been filed with the SEC.
