On May 26, 2011, Advanced Analogic Technologies, Inc announced
the definitive merger agreement under which Advanced Analogic
Technologies, Inc would be acquired by Skyworks Solutions in a
transaction valued at approximately $262 million. Under the terms
of the agreement, AATI stockholders will receive $3.68 in cash and
.08725 of Skyworks Solutions common stock for each share of AATI
common stock held.
The investigation concerns, among other things, whether the
proposed deal adequately compensates AATI shareholders and whether
a fair process was used in obtaining the best value for AATI
shareholders, and whether Advanced Analogic Technologies, Inc and
its Board breached their fiduciary duties by entering into the
agreement without properly shopping for a deal that would provide
better value for shareholders.
