                            RESIGNATION OF DIRECTOR

The board of Asite plc ("Asite" or the "Company") wishes to announce that
Charles Woods, the non-executive finance director of Asite plc, has resigned as
a director of Asite today in order to pursue other interests.


The directors of Asite wish to thank Charles for his contribution during his
time with the Company and wish him well in all his future activities.



The board will seek a replacement for Charles to join the Company during the
first quarter of 2004.
