The Registrant is unable to file its report on Form 10-Q for the quarter ending June 30, 2020 within the prescribed time period because of pending additional information necessary for finalizing its Form 10-K.

The results of operations for the six months ended June 30, 2020 will reflect a decrease in revenues of 46.1%, a decrease in gross profit of $2.3 million and a decrease in general and administrative expenses of 7.5%.  The results of operations for the six months ended June 30, 2020 will also reflect interest expense of $263,000, a gain on foreign currency remeasurement of $113,000 and an pension benefit of $73,000 as compared to the results of operations for the six months ended June 30, 2019 which reflected interest expense of $335,000, a loss on foreign currency remeasurement of $107,000 and a pension expense of $37,000.  There was also a loss on extinguishment of debt of $193,000 in the six months ended June 30, 2019, which did not recur in the six months ended June 30, 2020.  The consolidated results of operations will not reflect any other significant changes.
