   REFERRAL OF COMPLETED ACQUISITION OF BERTRAM GROUP LIMITED TO COMPETITION

The Board of Woolworths Group plc ("Woolworths") notes the announcement earlier
today by the Office of Fair Trading of its decision to refer the completed
purchase of Bertram Group Limited to the Competition Commission.  Woolworths is
disappointed that a referral is considered necessary but intends to co-operate
fully with the Competition Commission's inquiry, with the objective of obtaining
a satisfactory outcome.
