                   Woolworths Group plc - Total Voting Rights


In conformity with the Transparency Directive's transitional provision 6 and
further to the Company's announcement made on 15 December 2006, the Company
confirms that its issued share capital has increased and now consists of
1,458,989,441 ordinary shares of 12.5p with each carrying the right to one vote.
The increase results from the issue of shares to meet the exercise of options
under the Company's Executive Option and Sharesave Option schemes.

No ordinary shares are held in treasury.

The above figure of 1,458,989,441 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Woolworths Group plc under
the FSA's Disclosure and Transparency Rules.
