                Drilling and Wireline Solutions Limited ("DWSL")

               Acquisition of one share in Sondex PLC ("Sondex")

DWSL has today acquired one ordinary share in Sondex at a price of 460 pence
(the "Acquisition"). This means that DWSL will be a member of Sondex on the
effective date of the Scheme and accordingly, there will be no requirement under
section 103 of the Companies Act 1985 for an independent valuation of the new
ordinary shares in Sondex to be allotted to DWSL pursuant to the Scheme.

The Panel has confirmed that the Acquisition has no consequences under the City
Code.

Capitalised terms used in this announcement, unless otherwise indicated, have
the meanings ascribed to them in the Scheme Document.
