At the 1999 Molins PLC annual general meeting on 21 April 1999, the Directors
were authorised to purchase and cancel 3,557,486 ordinary shares of 25p each
(approximately 10% of the then issued ordinary share capital).  Pursuant to that
authority the Company has purchased 3,097,045 shares.

To retain the flexibility to make purchases, Molins PLC announces that the
Directors have decided to seek shareholders' authority at an extraordinary
general meeting to be held on 8 December 1999 to make further purchases of the
Company's ordinary shares of 25p each up to a limit of 10% of the current issued
ordinary share capital.

A notice convening the extraordinary general meeting will be posted to
shareholders on 8 November 1999.
