Item 1.01.    Entry into a Material Definitive Agreement
 
On August 29, 2008, Delphax Technologies Inc. announced acceptance of a $5.4 million purchase order for consumable supplies and equipment parts from Harland Clarke Corp., the Company's largest customer. The Company expects to fulfill the puuchase order in the first half of fiscal 2009. The Company does not expect this order to affect the volume of goods and services it is providing Harland Clarke under an existing service and supply contract that runs through December 31, 2011.
