Explanation of Responses:
( 1)  This amendment is being filed by the reporting person to correct a reporting error in the original Form 4 filed on 11/19/2009. As reported above, the shares were overstated in error by 570.475 shares from the original Form 4, and also were overstated from the 4 subsequent Forms 4 filed by the reporting person after the original Form 4 was filed. Subsequent filings by the reporting person will reflect the corrected amounts.
( 2)  Total includes shares held in the New Jersey Resources (NJR) 401(K) Plan that are accounted for on a unitized basis that reflects a calculated value, and shares purchased through the NJR Dividend Reinvestment Plan.
