Explanation of Responses:
( 1)  These shares were surrendered to the Company to satisfy tax withholding obligations arising in connection with settlement of 10,359 Restricted Stock Units (RSUs).
( 2)  Includes an aggregate of 15,594 Restricted Stock Units. Each unit represents the contingent right to receive one share of common stock.
( 3)  Options vested as follows: (i) as of 50% of the option shares (rounded up to the next whole number), 12.5% vested on each of the first, second, third and fourth anniversaries of the grant date (06/15/01); and (ii) as to 50% of the options shares (rounded up to the next whole number), on the fourth anniversary of the grant date.
( 4)  Options vested as follows: (i) as to 25% of the option shares, the first anniversary of the grant date (06/11/03); (ii) as to 75% of the option shares, on the last day of each of the next 11 consecutive quarters with any remaining option shares veting on the fourth anniversary of the grant date.
( 5)  Options vested as follows: (i) as to 25% of the option shares, the first anniversary of the grant date (06/16/04); (ii) as to 75% of the option shares, on the last day of each of the next 11 consecutive quarters with any remaining option shares veting on the fourth anniversary of the grant date.
( 6)  The Options vested with respect to 25% of the underlying shares of common stock on the first anniversary of the grant date (07/01/05) and as to the remaining 75%, at a rate of 6.25% per quarter thereafter (rounding down to the nearest whole share), with full vesting on the fourth anniversary of the grant date.
