Item 1.01. Entry into a Material Definitive Agreement.
     On September 15, 2010, DigitalGlobe, Inc. (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with Morgan Stanley & Co. Incorporated and J.P. Morgan Securities LLC, as representatives of the underwriters named therein (the “Underwriters”), and the stockholders of the Company identified as Selling Stockholders therein (the “Selling Stockholders”), pursuant to which the Selling Stockholders agreed to sell 6,000,877 shares of common stock, par value $0.001 per share, of the Company (the “Shares”) at a price of $30.25 per share. Pursuant to the Underwriting Agreement, one of the Selling Stockholders has granted the Underwriters a 30-day option to purchase up to an aggregate of 900,000 additional shares. The Shares are being offered and sold under a prospectus supplement filed with the Securities and Exchange Commission pursuant to Rule 424(b) of the Securities Act of 1933, as amended (the “Securities Act”), in connection with an offering pursuant to the Company’s Registration Statement on Form S-3 (Registration No. 333-169354). Delivery of the Shares is expected to occur on September 21, 2010, subject to customary closing conditions.
     The Company has agreed to indemnify the Underwriters against certain liabilities, including liabilities under the Securities Act, or to contribute to payments the Underwriters may be required to make because of any of those liabilities.
     The summary of the Underwriting Agreement in this report does not purport to be complete and is qualified in its entirety by reference to such agreement, which is filed as Exhibit 1.1 hereto.

     On September 15, 2010, the Company issued a press release announcing that it had priced the offering of the Shares. A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
     In accordance with General Instruction B.2 of Form 8-K, the information set forth in the attached Exhibit 99.1 is deemed to be “furnished” and shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended.
