Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On October 29, 2008, Belo Corp. (the “Company”) borrowed $364 million under its $600 million bank credit facility to fund the retirement of its 8% Senior Notes due November 1, 2008 in an aggregate principal amount of $350 million plus accrued interest. The credit facility was established pursuant to the Amended and Restated Five-Year Competitive Advance and Revolving Credit Facility Agreement dated as of June 7, 2006, among the Company, as borrower; JPMorgan Chase Bank, N.A., as Administrative Agent; J.P. Morgan Securities Inc. and Banc of America Securities LLC, as Joint Lead Arrangers and Joint Bookrunners; Bank of America, N.A., as Syndication Agent; and Sun Trust Bank, The Bank of New York, and BNP Paribas, as Documentation Agents; and Mizuho Corporate Bank, Ltd., as Co-Documentation Agent (the “Credit Agreement”). The Credit Agreement was amended on February 4, 2008 (the “First Amendment”). The Credit Agreement and the First Amendment were previously filed with the Securities and Exchange Commission on June 7, 2006 and February 5, 2008, respectively, as Exhibits 10.1 to the Company’s Current Reports on Form 8-K. A copy of the press release announcing this borrowing is furnished as Exhibit 99.1 hereto.
