Banco Bilbao Vizcaya Argentaria, S.A. (BBVA), pursuant to the provisions of the
Spanish Securities Market Act, proceeds by means of the present document to
notify the following:

RELEVANT INFORMATION

The board of directors of BBVA, in its meeting held today March 29, 2011, has
accepted the resignation of Mr. Rafael Bermejo Blanco, as member of the board,
due to the fact that he has reached the age limit provided in the Regulation of
the board, and has thanked him for his valuable contribution to the bank from
his position in the board.

The board of directors of BBVA has also agreed the appointment of the director
Mr. José Luis Palao García-Suelto as member and chairman of the Audit and
Compliance Committee. Apart from the referred change, the board committee
maintains the same composition.
