On June 11, 2008, the shareholders of Wilshire Bancorp, Inc. (the “Company”) approved the adoption of the Wilshire Bancorp, Inc. 2008 Stock Incentive Plan (the “2008 Plan”) which provides for a reserve of 2,933,200 shares of the Company’s common stock, no par value per share, that may be issued pursuant to the terms of the 2008 Plan. A summary description of the terms and conditions of the 2008 Plan is included in the Definitive Proxy Statement on Schedule 14A, filed by the Company on May 8, 2008, under the heading “Proposal No. 2—Approval of 2008 Stock Incentive Plan,” which is incorporated by reference herein. The form of Stock Award Agreement for which common shares may be issued pursuant to the 2008 Plan is attached hereto, the material terms of which are incorporated by reference herein.
