Item 2.01. Completion of Acquisition or Disposition of Assets.

On November 30, 2009, WebMediaBrands Inc., a Delaware corporation, completed the previously announced sale of its assets related to its Internet.com business (the “ Business Assets ”) to QuinStreet Inc., a California corporation, pursuant to an asset purchase agreement dated August 7, 2009, for an aggregate purchase price of $18 million in cash, subject to a working capital purchase price adjustment (the “ Sale ”). WebMediaBrands completed the Sale after obtaining approval of the holders of a majority of its outstanding shares of common stock.

Item 7.01. Regulation FD Disclosure.

On November 30, 2009, WebMediaBrands issued a press release announcing the completion of the Sale. A copy of the press release is furnished as Exhibit 99.1 hereto. The information contained in this Item 7.01 of this Current Report on Form 8-K, including Exhibit 99.1, shall not be deemed “filed” with the Commission nor incorporated by reference in any registration statement filed by WebMediaBrands under the Securities Act of 1933, as amended.
