Explanation of Responses:
( 1)  On May 31, 2011, Steven Madden, Ltd. (the "Company") effected a three-for-two stock split (effected as a stock dividend), which resulted in the reporting person receiving 28,750 additional shares of common stock of the Company.
( 2)  This option was previously reported as covering 25,001 shares at an exercise price of $15.64 per share, but was adjusted to reflect the three-for-two stock split (effected as a stock dividend) that occurred on May 31, 2011.
