Perry Ellis International, Inc. (NASDAQ: PERY) (“the Company”)
announced the closing of its public offerings of 2.0 million shares
of its common stock at $28.00 per share, and $150 million of its
7.875% senior subordinated notes due 2019 (the “Senior Subordinated
Notes”). In addition, the selling stockholders of the Company
identified in the prospectus sold an additional 600,000 shares of
common stock in the public offering. The underwriters have a 30-day
option to purchase up to an additional 15% of the common stock sold
to cover overallotments. The Company received net proceeds from the
common stock offering of $53,200,000 and net proceeds from the
Senior Subordinated Note offering of $147,000,000 after deducting
underwriting discounts and commissions but before offering
expenses. The Company did not receive any proceeds from the sales
by shareholders.
The Company is using the net proceeds from the common stock
offering to repay a portion of the amounts outstanding under its
senior credit facility. The Company is using the net proceeds from
the Senior Subordinated Notes offering to redeem its currently
outstanding 8-7/8% senior subordinated notes due 2013 and to repay
a portion of the amounts outstanding under its senior credit
facility.
