Pursuant to the recapitalization proposal, exempt under Rule 16b-7 and approved by Tecumseh Products Company's Shareholders on April 30, 2014 and effective at 12:01 a.m. ET on May 2, 2014 through the filing of our Amended and Restated Articles of Incorporation with the State of Michigan, each share of Tecumseh Products Company's Class B Common Stock, par value $1.00 per share, was reclassified and converted into one Common Share, no par value per share, and each share of Tecumseh Products Company's Class A Common Stock, par value $1.00 per share, was reclassified and converted into one Common Share, no par value per share.
