Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 25, 2017, the Board of Directors of Lakeland Industries, Inc. (the “Company”) approved the Amended and Restated By-Laws of the Company, effective as of that same date.

A copy of the Amended and Restated By-Laws is attached hereto as Exhibit 3.1 and incorporated herein by reference.
