Explanation of Responses:
( 1)  The shares were received pursuant to the Reporting Person's election to receive stock in lieu of cash for the retainer paid for service as a member of the Board of Directors and as chair of the Compensation Committee of the Issuer.
( 2)  The shares are 1/3 of a common stock option held by the Reporting Person that is exercisable in three equal annual installments. The first installment became exercisable on January 25, 2013, and the remaining two installments become exercisable on January 25, 2014 and January 25, 2015, respectively.
