The below email was sent to investors of Enstar Group Limited (“Enstar” or the “Company”) on July 29, 2024 by Enstar management in connection with the proposed acquisition of Enstar by Sixth Street, with other institutional investors participating in the transaction.

 

As you may have seen, today we announced that we have entered into a definitive merger agreement under which Sixth Street will acquire Enstar. Enstar shareholders will receive a total of $338.00 in cash per ordinary share of Enstar payable upon closing of the transaction, representing a total equity value of $5.1 billion. Liberty Strategic Capital, J.C. Flowers & Co. LLC, and other institutional investors are participating in the transaction.

 

The consideration represents a premium of approximately 8.5% to the 90-day volume weighted average price (“VWAP”) of the company shares as of July 26, 2024, the last trading day prior to the announcement of the transaction, and 6.9% to the 60-day VWAP as of the same date.

 

The Enstar Board of Directors constantly evaluates strategic alternatives and decided that it was in the best interests of shareholders for Enstar to be sold at a full and fair price.
