Explanation of Responses:
( 1)  (1) On May 5, 2010, Ms. Fuller exercised a total of 5,000 stock options by means of a "net exercise" and retained 977 shares of common stock. No shares were sold in the public markets. On exercising these options, Ms. Fuller became a stockholder of record with regard to the 977 retained shares of common stock and accordingly will be able to receive quarterly dividends on these shares. Ms. Fuller already owned an additional 27,005 shares of common stock prior to this "net exercise" transaction.
( 2)  Includes options to purchase 85,000 shares of common stock and 11,353 Restricted Stock Units.
( 3)  Includes options to purchase 82,500 shares of common stock and 11,353 Restricted Stock Units.
